RonanRx Patient Platform & Marketplace Agreement
RonanRx Inc.
This agreement is part of the RonanRx Patient Agreement Packet. The Patient, Provider, fees, dates, and other particulars are stated on the packet cover page and are incorporated into this agreement by reference.
This is the master agreement between me and RonanRx Inc. ("RonanRx," "we," "us") for my use of the RonanRx platform and marketplace. By creating an account, selecting a Provider, or paying for a subscription, I agree to these terms.
1. Defined Terms
The capitalized terms in this agreement are stated on the packet cover page. In a signed packet, "Provider" means the Provider identified on the cover page. If I later change Providers, this signed packet is not altered; the new Provider is reflected in a new Provider Election & Care-Relationship Addendum.
2. Who the parties are
This agreement is between me, the Patient, and RonanRx Inc. Some terms also protect and benefit my Provider. Where this agreement gives my Provider rights or protections, my Provider is an intended third-party beneficiary and may rely on and enforce those terms even though my Provider is not signing this document.
3. What RonanRx is
RonanRx is a health-technology marketplace and Management Services Organization (MSO). RonanRx operates the platform that connects me with independent, licensed Providers. RonanRx supplies non-clinical services only: account onboarding and intake, payment collection, scheduling, secure messaging tools, routing of my records to my Provider, care-coordination technology, and customer support for non-clinical questions.
4. What RonanRx is not
RonanRx is not the treating clinician and does not practice medicine. RonanRx does not control or perform diagnosis, treatment, prescribing, refills, dosing, labs, follow-up, or any clinical judgment. RonanRx does not guarantee any diagnosis, prescription, refill, treatment, medication, or health outcome. Using the platform, selecting a Provider, or paying a subscription does not entitle me to any specific clinical result. Clinical decisions belong entirely to my Provider.
5. The Provider is the treating clinician
Once a Provider accepts me, my Provider is solely responsible for all of my clinical care and controls all medical judgment. In my Provider's independent professional discretion, my Provider may decline to prescribe a medication, may require labs, records, an in-person or video visit, or follow-up before or during care, and may refer me to another clinician or to in-person care when appropriate. RonanRx does not influence, override, or share in these clinical decisions.
6. How the marketplace works
RonanRx shows me Providers who are eligible to care for me. Eligibility depends on where I am physically located at the time of care, the Provider's license and authorization to practice in that location, the Provider's availability, and the Provider's clinical scope. A Provider, my Provider's professional entity, and any pharmacy can serve me only in the states where they are licensed or otherwise legally authorized to practice; if I am physically located somewhere they are not authorized, they cannot treat me or fill a prescription for me there, and my care may be paused or unavailable until I am in an authorized location. RonanRx aims to surface all eligible Providers, but availability changes constantly and automated systems have practical limits, so the Providers shown at any given moment may not be every eligible Provider, and a Provider I want may be full, unavailable, or not authorized where I am. Provider availability is not guaranteed. I must give accurate, current location and health information and update it whenever it changes, because both my eligibility and the safety of my care depend on it.
7. Marketplace availability, clinical acceptance, and medication fulfillment are separate
These are not the same legal event, and one never automatically grants another:
- Marketplace availability: which Providers are shown to me for my state of residence.
- Clinical acceptance: a Provider accepting me and forming the care relationship.
- Medication fulfillment availability: whether a particular compounded or dispensed medication is available to me. This is state-specific and prescription-specific and is governed by the separate Pharmacy & Compounding / Medication Disclosure.
Selecting a Provider is not the same as ordering medication, and seeing a Provider in the marketplace does not mean that Provider has accepted me or that any medication is available.
8. Selecting a Provider is a request, acceptance is required
When I select a Provider, I am making a request to establish care with that Provider. The doctor-patient relationship begins only when the Provider accepts me. Until the Provider accepts, no care relationship exists, no clinical advice has been given, and RonanRx is not acting as my clinician. The details of selection and acceptance are described in the Provider Election & Care-Relationship Addendum.
9. My right to change Providers
I may request a different Provider at any time. The new Provider must be eligible for my state of residence and accepting new patients, and any transfer is not effective until the new Provider accepts me. I authorize RonanRx to facilitate the change, including routing and copying my records to the new Provider with my consent under the Privacy, HIPAA & Records-Sharing Authorization. My prior Provider may retain its own legal medical record of the care it gave me, as required by law and professional rules. A Provider change creates a new Provider Election & Care-Relationship Addendum; it does not edit this signed packet.
10. No emergency care
The RonanRx platform is not for emergencies. It is not designed for urgent or life-threatening situations and should never be used in place of emergency services. If I am experiencing a medical emergency, I will call 911 or go to the nearest emergency room or urgent care right away. I will not use platform messaging or Provider selection to seek emergency help.
My Provider sets the Provider Fee, my Provider's own clinical price, which goes to my Provider for clinical services. RonanRx charges a separate, flat Platform Fee stated on the cover page for the non-clinical services described above. Together they are my Total Monthly Charge stated on the cover page.
The Platform Fee is a fixed, fair-market-value administrative fee. It never varies with the Provider's price, it is not a percentage of the clinical fee, and it is not a revenue split. It is not tied to any prescription, refill, medication choice, pharmacy choice, whether a prescription is filled, drug or pharmacy revenue, or referrals. There are no referral fees and no drug-margin sharing.

12. Other agreements that are part of this one (incorporation by reference)
This agreement incorporates the following documents by reference, and together they form my complete agreement for using RonanRx. By agreeing here, I agree to each of them as it applies to me:
- Provider Election & Care-Relationship Addendum
- Telehealth Consent & Consent to Treat
- Payment & Billing / Subscription Terms
- Privacy, HIPAA & Records-Sharing Authorization
- Pharmacy & Compounding / Medication Disclosure
- Mobile Messaging Consent, Authorization & Communications Preferences
If any of those documents conflicts with this one on a specific topic, the more specific document controls for that topic.
I agree to provide true, current, and complete information when I onboard and while I use the platform, including my identity, date of birth, current physical location, state of residence, contact details, and health information. My Provider and RonanRx rely on this information to determine eligibility, authorization, and appropriate care. I will keep my information up to date, and I understand that inaccurate information may affect which Providers are available to me and the safety of my care.
14. Acceptable use
I agree to use the platform only for my own lawful, personal healthcare needs, or as an authorized representative for a Patient I am permitted to act for. I will not misuse the platform, impersonate another person, provide false information, attempt to access another person's account or records, interfere with the platform's security or operation, or use the platform for emergencies or for anything other than its intended purpose. RonanRx may suspend or end access for misuse, for non-payment under the Payment & Billing / Subscription Terms, or to comply with law.
15. Changes to these terms
RonanRx may update this agreement and the incorporated documents from time to time, for example to reflect new features, operational changes, or legal requirements. When RonanRx makes a material change, it will notify me and provide the updated documents so I can review them, and the current version is always available to me. A material change does not take effect retroactively and does not change the terms that governed clinical care already provided. If I do not agree to a material change, I may decline it by cancelling my subscription under the Payment & Billing / Subscription Terms before the change takes effect.
16. Governing law and state-specific riders
This agreement is governed by the governing law stated on the cover page, without regard to its conflict-of-laws rules, except where the law of my state of residence or another applicable law cannot be waived and must apply. Because healthcare, telehealth, licensure, and privacy rules vary by state, state-specific riders may apply to me and, where they do, those riders are part of this agreement and control over inconsistent national terms for my state of residence.
RonanRx provides the platform and its non-clinical services on an "as is" and "as available" basis. RonanRx does not warrant that the platform will be uninterrupted, error-free, or always available, that a Provider I want will be available or will accept me, or that any technology will meet my expectations. RonanRx makes no warranty about clinical care; my Provider, not RonanRx, is responsible for all clinical services. To the extent the law allows, RonanRx disclaims the implied warranties of merchantability, fitness for a particular purpose, and non-infringement for the platform and its non-clinical services. Nothing here disclaims any warranty or right that cannot be waived under the law of my state of residence.
18. Limitation of liability
To the extent the law allows, RonanRx is not liable for indirect, incidental, special, consequential, or punitive damages arising out of my use of the platform, and RonanRx's total liability for any claim relating to the platform or its non-clinical services will not exceed the total Platform Fees I paid to RonanRx in the twelve months before the event giving rise to the claim. This limit does not apply to liability that cannot be limited by law, including liability for fraud, gross negligence, or willful misconduct. This section limits only RonanRx's liability for its non-clinical platform services. It does not limit my Provider's responsibility for clinical care, and it does not waive any right I have that cannot be waived under applicable law.
19. Indemnification
To the extent the law allows, I agree to indemnify and hold RonanRx harmless from third-party claims, losses, and reasonable expenses that arise from my misuse of the platform, my violation of this agreement, or information I provide that is false or inaccurate. I am not responsible for indemnifying RonanRx for RonanRx's own fraud, gross negligence, or willful misconduct, or for my Provider's clinical care.
20. Dispute resolution and arbitration
Most concerns can be resolved by contacting RonanRx support, and I agree to contact RonanRx first so we can try to resolve a dispute informally. If we cannot, then to the extent the law allows, any dispute between me and RonanRx relating to the platform or its non-clinical services will be resolved by binding individual arbitration rather than in court, and I and RonanRx each give up the right to a jury trial and to participate in a class action. This does not apply to claims that cannot be required to go to arbitration under applicable law, to my Provider's clinical care, or to matters that qualify for small-claims court. I may opt out of this arbitration and class-action waiver by notifying RonanRx in writing within 30 days of first agreeing to these terms; opting out does not affect the rest of this agreement.
21. The relationships this agreement creates
RonanRx is a health-technology platform that Providers use for care coordination, and using the platform does not by itself create a doctor-patient relationship with RonanRx. Providers keep their prescribing authority and clinical independence, my freedom to choose and change Providers is preserved, and RonanRx earns no referral fees and no share of drug margins. RonanRx is not my doctor, my pharmacy, or my insurer.
22. Acknowledgments
By agreeing to this Patient Platform & Marketplace Agreement, I affirm that:
- RonanRx is a marketplace, platform, and MSO that provides non-clinical services, and is not my treating clinician and does not practice medicine.
- RonanRx does not guarantee any diagnosis, prescription, refill, treatment, medication, or outcome.
- My Provider is responsible for all clinical care and controls all medical judgment once my Provider accepts me.
- Selecting a Provider is only a request; the doctor-patient relationship begins only when my Provider accepts me.
- Marketplace availability, clinical acceptance, and medication availability are separate, and one does not automatically grant another.
- I may request a change of Provider; the change is effective only when a new, eligible, accepting Provider accepts me, and records transfer with my consent while my prior Provider keeps its own legal record.
- The platform is not for emergencies; I will call 911 or seek urgent care for emergencies.
- My Provider Fee is separate from RonanRx's flat Platform Fee, which is not tied to prescriptions, pharmacy, or referrals, and there are no referral fees or drug-margin sharing.
- RonanRx's non-clinical platform services come with limited warranties and a limit on RonanRx's liability, and disputes with RonanRx are resolved by individual arbitration with a class-action waiver that I may opt out of within 30 days; none of this limits my Provider's responsibility for clinical care or waives any right I cannot waive.
- I have read and agree to the incorporated documents listed in Section 12.
- I will provide accurate information and use the platform appropriately, and state-specific riders may apply to me.

Provider Election & Care-Relationship Addendum
RonanRx Inc.
This agreement is part of the RonanRx Patient Agreement Packet. The Patient, Provider, fees, dates, and other particulars are stated on the packet cover page and are incorporated into this agreement by reference.
This Addendum records my election of, and my agreement to receive care from, the Provider identified on the cover page (my Provider). It works together with my RonanRx Patient Platform & Marketplace Agreement, my Telehealth Consent & Consent to Treat, my Payment & Billing / Subscription Terms, and my Privacy, HIPAA & Records-Sharing Authorization. This Addendum does not replace my agreement with RonanRx; it adds to it. If I later change Providers, this Addendum is unchanged and a new Provider Election & Care-Relationship Addendum is issued.
1. What this Addendum does
By accepting this Addendum, I request to establish care with my Provider, or with that Provider's practice entity identified on the cover page (my Provider Entity). This document records my choice of Provider and the terms of the care relationship I am asking to begin.
2. Selecting a provider is a request, not a guarantee
When I select a Provider through RonanRx, I am asking that Provider to accept me as a patient. Selection alone does not create a doctor-patient relationship and does not guarantee that I will receive care. The relationship begins only after my Provider accepts me. Until then, no clinical relationship exists between me and my Provider, and my Provider owes me no clinical duty.
3. Marketplace availability, clinical acceptance, and medication fulfillment are separate
I understand these are different events and that one does not assure the others:
- Marketplace availability means a Provider is shown to me for my state. It means only that the Provider may be eligible to see patients in my state. It does not mean the Provider has accepted me.
- Clinical acceptance means my Provider agrees to accept me as a patient, which is what forms the care relationship.
- Medication fulfillment availability means whether any medication my Provider may prescribe can be filled or compounded. This is state- and prescription-specific, is handled under the Pharmacy & Compounding / Medication Disclosure, and is never decided by my choice of Provider. Selecting my Provider is not the same as ordering or being approved for medication.
4. The provider must accept me
My Provider must review my request and decide whether to accept me as a patient. My Provider may decline to accept me, in my Provider's sole judgment, for reasons that include licensure, scope of practice, capacity or availability, missing or incomplete information, clinical appropriateness, or patient-safety reasons. If my Provider declines, no care relationship forms, and RonanRx will help me look for another eligible Provider. RonanRx does not overrule, influence, or second-guess a Provider's clinical decision to accept or decline a patient.
RonanRx aims to have an eligible Provider accept or decline my request within about one business day. If no eligible Provider has accepted me within a reasonable time, I will not be left paying for care I cannot access: RonanRx will refund what I paid for that month, or I may choose to keep waiting for an eligible Provider to accept me. Until a Provider accepts me, no doctor-patient relationship exists and no Provider owes me a clinical duty.
5. When the doctor-patient relationship begins
Once my Provider accepts me, my Provider (or my Provider Entity) becomes my treating clinician, and the care relationship begins on the effective date stated on the cover page, which is the date my Provider accepts me — not the date I selected my Provider or signed this packet. By accepting this Addendum, I agree to receive my care from my Provider. I also agree that my Provider may use RonanRx for administrative and platform support, including onboarding and intake, scheduling, messaging tools, record routing, payment collection, and customer support for non-clinical issues. All clinical decisions are made by my Provider, not by RonanRx. RonanRx does not practice medicine and is not my treating clinician.
6. My provider's clinical independence
I understand that my Provider, not RonanRx, controls every clinical aspect of my care. My Provider exercises independent professional judgment over:
- whether to accept me as a patient, and on what clinical terms;
- diagnosis and assessment;
- the treatment plan and whether to treat;
- prescribing, including the right to decline to prescribe any medication;
- ordering and interpreting labs and tests;
- dosing and adjustments;
- follow-up and monitoring;
- referrals to other clinicians or specialists;
- setting the Provider Fee, my Provider's own price for clinical services; and
- ending the care relationship or transitioning my care when clinically appropriate.
RonanRx does not direct, restrict, or override any of these decisions. RonanRx does not decide which patients my Provider accepts and does not set my Provider's clinical fee.
7. Fees
My Provider sets and receives the Provider Fee stated on the cover page. RonanRx separately charges the flat Platform Fee stated on the cover page for non-clinical services. My Total Monthly Charge is stated on the cover page. The Payment & Billing / Subscription Terms set out the complete payment mechanics and control on all payment matters.
8. My right to change providers later
I may request to change Providers through RonanRx at any time, subject to eligibility, availability, and the new Provider's acceptance. If I switch:
- A new Provider Election & Care-Relationship Addendum is generated and accepted for the new Provider, and that new relationship begins only when the new Provider accepts me.
- My prior Provider remains the custodian of the records created during my care with that Provider, as required by law.
- My new Provider receives a copy of, or access to, the records needed to treat me, shared with my consent under my Privacy, HIPAA & Records-Sharing Authorization.
- Pending prescriptions, refills, and labs may require clinical review by my new Provider and may not transfer automatically. My new Provider decides independently whether to continue, change, or stop any prior treatment.
- Because a change is mine to request and happens at my discretion, I can keep my current Provider until my new Provider accepts me, so I choose when the change takes effect and am not left without care while I switch.
A Provider change should not leave me stranded mid-treatment. RonanRx and my Providers will use commercially reasonable efforts to support a safe handoff, and consistent with their professional obligations my prior Provider may continue medically necessary care, such as a short-term bridge or refill, for a reasonable period until my new Provider accepts me and assumes care, unless I end care sooner.
If I change Providers, this Addendum remains the historical record for the provider election it describes and is not edited. The RonanRx app and dashboard read the active provider election to show my current Provider.
9. Required acknowledgments
By accepting this Addendum, I affirm that:
- Selecting my Provider is a request to establish care, and selection alone does not guarantee care.
- My Provider must accept me, and may decline for licensure, scope, capacity, missing information, clinical appropriateness, or safety reasons.
- If no eligible Provider accepts me within about one business day, RonanRx will refund what I paid for that month, or I may keep waiting for an eligible Provider.
- Once my Provider accepts me, my Provider (or my Provider Entity) is my treating clinician, and I agree to receive my care from my Provider.
- All clinical decisions are made by my Provider, not by RonanRx, and my Provider may use RonanRx for administrative and platform support.
- My Provider sets and receives the Provider Fee, RonanRx's flat Platform Fee is separate, and my Total Monthly Charge is stated on the cover page, with full payment terms in the Payment & Billing / Subscription Terms.
- I may request to change Providers later, subject to eligibility, availability, provider acceptance, and transfer-of-care requirements, and pending prescriptions, refills, and labs may not transfer automatically.
- A Provider change happens at my discretion, and my prior Provider may continue medically necessary care for a reasonable bridge period so I am not stranded while I switch.
- Marketplace availability, clinical acceptance, and medication fulfillment are separate, and selecting my Provider is not the same as ordering medication.
The effective date is set when my Provider accepts me. My typed name, signature, and date are completed on the signature page of this packet.

Telehealth Consent & Consent to Treat
RonanRx Inc.
This agreement is part of the RonanRx Patient Agreement Packet. The Patient, Provider, fees, dates, and other particulars are stated on the packet cover page and are incorporated into this agreement by reference.
This consent is between me, the patient or my authorized representative, and my Provider. The care described here is delivered by my Provider and that Provider's professional entity. It is not delivered by RonanRx.
RonanRx operates the technology platform, marketplace, intake, scheduling, messaging, payment collection, and records routing. RonanRx is not the treating clinician. RonanRx does not practice medicine and does not make any clinical decision about my care.
1. What telehealth is
Telehealth means I receive health care from my Provider remotely, by secure video, audio, messaging, or other electronic tools, instead of or in addition to an in-person visit. My Provider may use these tools to evaluate me, talk with me, review information I share, and follow up. I am choosing to receive care this way, and I understand what that involves.
2. I consent to telehealth
I voluntarily consent to receive care from my Provider by telehealth. I am free to ask questions about how telehealth works before I begin. I may ask for an in-person referral if one is available and appropriate for me.
3. Telehealth has limits
Remote care has limitations. My Provider cannot physically examine me the way an in-person clinician can, cannot perform hands-on testing or procedures remotely, and must rely partly on the information and images I provide. In some situations, telehealth may not be enough to safely diagnose or treat me, and important findings could be missed compared with an in-person visit.
4. Technology can fail
Telehealth depends on technology, and technology can fail. Connections may drop, audio or video may be poor, devices may malfunction, and messages may be delayed or not delivered. If a technical problem interferes with my care, my Provider or I may pause, reschedule, switch to another method such as a phone call, or arrange in-person care. A technology failure does not entitle me to any guaranteed clinical outcome.
5. My Provider may decide I need in-person care
My Provider may determine, using independent clinical judgment, that telehealth is not appropriate for my situation and that I need to be seen in person, get in-person testing, or be referred elsewhere. If my Provider tells me I should seek in-person or other care, I agree it is my responsibility to follow up on that recommendation.
6. I can stop using telehealth at any time
I may withdraw my consent to telehealth at any time, for any reason, without affecting my right to seek care through other means in the future. Stopping telehealth does not by itself refund fees already charged, and it does not erase the care record my Provider has already created.
7. Consent to be treated by my Provider
I consent to be evaluated and treated by my Provider and that Provider's professional entity. The doctor-patient relationship is formed with my Provider, not with RonanRx, and begins only once my Provider accepts me as a patient. My Provider is responsible for my diagnosis, treatment plan, any prescriptions, dosing, labs, follow-up, and all other clinical decisions.
8. What my Provider may ask me to do
To care for me safely, my Provider may ask me to provide health information, complete intake questionnaires, share my medical history and records, get laboratory tests, share photos or images of a condition, measure and report vital signs, or attend follow-up visits. If I decline to provide information my Provider reasonably needs, my Provider may be unable to evaluate or treat me safely and may decline or limit care.
9. My Provider makes independent clinical decisions
My Provider exercises independent professional judgment about my care and is not directed by RonanRx. My Provider may decline to treat me, or decline a particular treatment, if my Provider determines it is not clinically appropriate, not safe, or outside the scope of what telehealth can responsibly deliver. RonanRx does not override, influence, or second-guess these decisions.
10. I am able to give this consent
I confirm that I am at least 18 years old and able to understand and make decisions about my own care, or that I am signing as the patient's authorized representative under Section 11. I am giving this consent freely. I have had the chance to ask questions and to receive the information I need about the nature of telehealth care, its benefits, its limits, and reasonable alternatives, so that I can make an informed decision.
11. Representatives and guardians
If the patient is a minor, or is an adult who cannot make their own health-care decisions, this consent must be given by a person with legal authority to make health-care decisions for the patient, for example a parent, legal guardian, health-care power of attorney, or other surrogate recognized under applicable law. If I am signing as a representative, I represent that I have that authority, and I agree to provide my name, my relationship to the patient, and the basis of my authority when asked. My Provider may request documentation of my authority and may be unable to proceed until it is provided. The rules about who may consent for a minor or an incapacitated adult depend on the law of my state of residence stated on the cover page.
12. Documentation of consent
This consent will be recorded as part of my care record, including the version I agreed to, my name or my representative's name and authority, and the date and time. I may request a copy. Recording my consent does not limit my Provider's duty to obtain any additional, treatment-specific informed consent that a particular test, medication, or procedure may require.
13. My current location
Telehealth law depends on where I am physically located when I receive care, not only where I live. My physical location at the time of care is captured for each encounter, confirmed each visit, and is distinct from my state of residence stated on the cover page. I represent that the location I provide is my accurate, current physical location, and I agree to update RonanRx and my Provider before each time I receive care if my location has changed. I understand that:
- which providers are available to me depends on my physical location at the time of care and on the Provider's licensure;
- my Provider can lawfully treat me only in that Provider's Licensed States, the states where that Provider is licensed or otherwise legally authorized to practice; and
- if I am located somewhere my Provider is not authorized to practice, my Provider cannot treat me at that time, and care may be paused, rescheduled, or unavailable until I am in an authorized location.
I confirm this representation each time I receive care, not just when I sign. Giving an inaccurate location may make my care unlawful, unsafe, or impossible, and my Provider and RonanRx may rely on the location I provide.
14. Provider availability is state-specific
The Providers shown to me, whether a Provider accepts me, and whether any medication is available are three separate things, and each can depend on my state. A Provider being available in the marketplace does not guarantee that Provider will accept me, and being accepted for care does not guarantee that any particular medication can be prescribed or fulfilled in my state.
15. This is not emergency care
Telehealth through this platform is not for emergencies. If I have an urgent or life-threatening problem, including chest pain, trouble breathing, severe bleeding, signs of stroke, thoughts of harming myself or others, or any condition that needs immediate attention, I will call 911 or go to the nearest emergency room. I will not use telehealth, messaging, or the App to seek emergency care, and I understand my Provider may not see my message in time. Telehealth is not a substitute for emergency services or for in-person care when those are needed.
16. No guarantee of any prescription
Consenting to treatment does not guarantee that I will receive any prescription, refill, dose change, or specific medication. Whether to prescribe anything, and what to prescribe, is entirely my Provider's clinical decision. My monthly subscription pays for access to my Provider's services and the RonanRx platform. It does not buy a prescription, a refill, or any pharmacy outcome, and no fee I pay is tied to whether a medication is prescribed or filled. If a medication is prescribed, its availability may still depend on my state, the medication, and the dosage form.
17. State-Specific Rider
Telehealth consent rules are not uniform across the United States. Some states require additional disclosures, specific consent language, separate acknowledgments, or particular formalities before telehealth care may be delivered. Those additional requirements attach to this consent based on the state where I am located when I receive care, and they are in addition to the national terms above.
The law of the state where I am located when I receive care may add telehealth-consent requirements, including additional disclosures, consent language, modality limits, recording or storage notices, separate consent formalities, and minor and representative-consent rules. Those requirements apply to my care and are incorporated into this consent. Where that state's law grants stronger protections than the national terms above, that state's law controls.
18. My acknowledgments
By signing, I affirm that:
- I consent to receive care from my Provider by telehealth, and I understand telehealth's limits and that technology can fail.
- My Provider, not RonanRx, is my treating clinician, makes all clinical decisions independently, and may decline care that is not clinically appropriate.
- The location I provided is my accurate, current physical location, and I will update it before each time I receive care. I make this representation every time I receive care.
- Care is available only where my Provider is legally authorized to practice, in my Provider's Licensed States, and availability depends on my physical location at the time of care.
- This is not emergency care. For urgent or life-threatening symptoms I will call 911 or go to the nearest emergency room.
- Consenting to treatment does not guarantee any prescription, refill, or specific medication. That is my Provider's clinical decision.
- I am able to give this consent, or I am an authorized representative and will provide my relationship and authority when asked.
- Additional state-specific telehealth terms may apply to me under the State-Specific Rider.
- I may stop using telehealth at any time, and this consent is recorded as part of my care record.

Payment & Billing / Subscription Terms
RonanRx Inc.
This agreement is part of the RonanRx Patient Agreement Packet. The Patient, Provider, fees, dates, and other particulars are stated on the packet cover page and are incorporated into this agreement by reference.
These terms explain what I pay each month, what that payment covers, what it does not cover, and how I can change Providers or cancel. They apply alongside the RonanRx Patient Platform & Marketplace Agreement and the Provider Election & Care-Relationship Addendum. RonanRx Inc. ("RonanRx") operates the marketplace and handles payment, and my Provider is my treating clinician.
1. What I am charged each month
My monthly subscription is the Total Monthly Charge stated on the cover page. That amount is made up of two separate parts:
- The Provider Fee stated on the cover page. My Provider sets this fee and receives it for the clinical services and follow-up they provide to me.
- The flat Platform Fee stated on the cover page. RonanRx charges this separate, flat monthly amount for the non-clinical platform services described in Section 2.
The Platform Fee is a fixed, fair-market-value administrative fee for non-clinical platform services only: the marketplace and Provider search, account setup and intake, secure messaging tools, scheduling, payment collection and processing, record routing between me and my Provider, care-coordination technology, and customer support for non-clinical issues.
The Platform Fee is a fixed flat monthly amount that does not change with the Provider Fee. It is not a percentage or share of the Provider Fee, and it is not tied in any way to prescriptions, refills, the medication I am prescribed, the pharmacy I use, whether a prescription is ever filled, or any referral.
3. What the clinical fee covers
The Provider Fee covers clinical access and follow-up with the Provider identified on the cover page: the treating-clinician services my Provider agrees to provide once they have accepted me as a patient under the Provider Election & Care-Relationship Addendum. This typically includes telehealth visits, clinical messaging with my Provider's care team, review of my history, and the ordinary follow-up my Provider determines is appropriate. The specific scope of clinical services is set by my Provider, not by RonanRx.
4. How RonanRx handles the money
RonanRx collects the full Total Monthly Charge from my payment method as my Provider's payment facilitator. RonanRx then remits the Provider Fee to my Provider and retains its flat Platform Fee. RonanRx does not set, mark up, or take a percentage of the Provider Fee.
In some states, the Provider or the Provider's professional entity is the merchant of record for the Provider Fee, with RonanRx collecting the Platform Fee, and the amounts I pay are unchanged.
5. What payment does not guarantee
Paying my monthly subscription buys access to my Provider's clinical services. It does not guarantee any particular medical outcome. In particular, my payment does not guarantee that I will receive a prescription, a refill, a specific medication, approval from a pharmacy, or any lab or test. Those are clinical decisions my Provider makes based on their independent medical judgment. RonanRx does not practice medicine and does not control any of these decisions.
6. Costs that are separate from this subscription
My subscription does not include the cost of medications, compounded products, pharmacy dispensing or shipping, laboratory or diagnostic tests, urgent or emergency care, or care from any outside Provider or facility I am referred to. Those costs are separate and are my responsibility unless something is expressly stated in writing to be included. Medication and pharmacy details are covered in the Pharmacy & Compounding / Medication Disclosure, and I should review that document for what is and is not available in my state.
7. Changing providers, effect on billing
I may request a different Provider at any time, as described in the RonanRx Patient Platform & Marketplace Agreement. To keep billing simple:
- The Provider active for the current billing period receives their Provider Fee through the end of that period.
- A change becomes effective only after the new Provider accepts me. The new Provider's portion of the fee begins on the next billing cycle after the transfer is effective.
- I will not be charged two monthly clinical fees at once for the same month unless that is clearly disclosed to me in advance.
- If a switch happens mid-cycle, RonanRx will not double-bill the clinical portion; any proration or refund follows the rules in Section 8. The Platform Fee continues unchanged across a Provider change.
Records transfer to my new Provider with my consent, and my prior Provider keeps its own legal record.
8. Cancellation, proration, and refunds
- How I cancel. I can cancel my subscription at any time through the App, the web portal, or by contacting RonanRx support.
- When it takes effect. Cancellation stops future monthly charges. It takes effect at the end of the current paid billing period, so I keep access to my Provider's services through the period I have already paid for.
- Refunds. The monthly subscription is generally not prorated or refunded for the remainder of a billing period after I cancel. An exception applies where a refund is required by law or where RonanRx or my Provider expressly agrees to one, for example a billing error or a duplicate charge. Any refund of the clinical portion is at my Provider's discretion. RonanRx will refund its flat Platform Fee where a charge was made in error.
- Access after cancellation. After cancellation, my ongoing clinical access ends at the close of the paid period, and my Provider may arrange any appropriate handoff for open clinical matters. RonanRx is not the treating clinician and cannot continue clinical care.
- My records remain available. Cancelling does not delete my health records. My records remain available to me and to my Provider as described in the Privacy, HIPAA & Records-Sharing Authorization, and I can request copies or transfer of my records after I cancel.
9. Self-pay and Good Faith Estimate
This subscription is a self-pay service; it is not billed to insurance. Because I am a self-pay patient, I am entitled to a Good Faith Estimate of expected charges before I receive services, under the federal No Surprises Act. For this subscription the estimate is the Total Monthly Charge stated on the cover page, made up of the Provider Fee plus the flat Platform Fee.
I understand the Good Faith Estimate covers the subscription only and that additional costs may apply separately, including laboratory or diagnostic tests, medications and compounded products, pharmacy dispensing and shipping, urgent or emergency care, and any care from an outside Provider or facility I am referred to (see Section 6). If I receive a bill that is substantially more than my Good Faith Estimate for a self-pay clinical service, I may dispute it through the federal patient-provider dispute resolution process. RonanRx will provide information on how to start that process on request.
10. Authorization to charge my payment method
I authorize RonanRx, as my Provider's payment facilitator, to charge my designated payment method the Total Monthly Charge each month on a recurring basis until I cancel or the subscription ends. I authorize RonanRx to charge applicable taxes or fees where required by law, and to charge the updated amount if my Provider Fee changes and is disclosed to me in advance. The Platform Fee remains a flat monthly amount. My authorization continues for each billing cycle until I cancel under Section 8.
11. Failed payments
If a monthly charge fails, for example an expired card or insufficient funds, RonanRx may retry the charge and will notify me so I can update my payment information. If payment remains unpaid, my subscription and clinical access may be suspended or cancelled after notice. A lapse in payment does not end my Provider's existing legal and professional obligations regarding my care, and it does not delete my records.
I can update my card or payment details at any time in the App or web portal, or by contacting RonanRx support. Keeping my payment information current is my responsibility so my subscription is not interrupted.
13. Changes to fees
If my Provider changes the Provider Fee, RonanRx will disclose the new amount and the new Total Monthly Charge to me before it takes effect, and the change will apply on a future billing cycle. The Platform Fee remains a flat monthly amount. I may cancel under Section 8 if I do not agree to a changed fee.
14. Required acknowledgments
By signing, I affirm that:
- My Provider sets the Provider Fee, RonanRx charges a separate flat Platform Fee, and together they make up the Total Monthly Charge stated on the cover page.
- The Platform Fee is flat and is not a percentage of, or a share of, the Provider Fee, and is not tied to prescriptions, refills, medications, pharmacy choice, or referrals.
- I authorize the recurring monthly charge of the Total Monthly Charge to my payment method until I cancel.
- Payment does not guarantee a prescription, refill, specific medication, pharmacy approval, or labs.
- Medications, pharmacy, labs, urgent care, and outside referrals are separate costs unless expressly stated otherwise.
- I understand the cancellation, proration, and refund rules and that cancelling does not delete my records.
- I understand how a provider change affects my billing.
- I understand this is a self-pay service and that I am entitled to a Good Faith Estimate and to the patient-provider dispute process for self-pay clinical charges.
- I consent to electronic records and electronic signature for these terms.

Privacy, HIPAA & Records-Sharing Authorization
RonanRx Inc.
This agreement is part of the RonanRx Patient Agreement Packet. The Patient, Provider, fees, dates, and other particulars are stated on the packet cover page and are incorporated into this agreement by reference.
This document explains how my health information is handled and the permissions I am giving. It covers my acknowledgment that I received the Notice of Privacy Practices, the everyday uses the law permits for treatment, payment, and operations, and the records sharing I authorize for my Provider and any future Provider I choose.
In this document, "I" and "me" mean the Patient. "RonanRx," "we," and "us" mean RonanRx Inc. "PHI" means protected health information, my identifiable health information.
Two parties handle my information for two purposes:
- RonanRx, the platform. RonanRx handles my account, administrative, payment, and technical data, including account setup, intake, secure messaging, scheduling, routing of records, billing data tied to my care, customer support, and the technology that runs the platform. RonanRx uses my information to operate the platform, to connect me with my Provider, and to let me change my Provider when I request it. RonanRx protects my health information consistent with HIPAA and applicable law and limits its use to what is reasonably needed for these non-clinical functions. RonanRx is not my treating clinician and does not make clinical decisions.
- My Provider, the clinician. My Provider, working through my Provider's practice, is the treating clinician. My Provider creates and keeps my clinical records and maintains its own HIPAA Notice of Privacy Practices describing how my Provider's practice uses and protects my health information.
2. Notice of Privacy Practices acknowledgment
I acknowledge that I have been given, and have had the chance to read, the Notice of Privacy Practices for RonanRx and for my Provider, which describe how my health information may be used and disclosed and what my privacy rights are. This is only an acknowledgment that I received the Notice. It does not stand in for my consent to treatment in the Telehealth Consent & Consent to Treat, and it is distinct from the records-sharing described in Sections 4 and 5 and the patient-directed request I can make in Section 6. Signing one of these does not sign the others.
3. Permitted everyday uses (treatment, payment & operations)
Under HIPAA, my information may be used and disclosed without my separate authorization for treatment, payment, and health-care operations ("TPO"). My Provider and care team may use and share my information to treat me and coordinate my care, including with other providers involved in my care. My information may be used to bill for and collect payment for the services I receive. It may be used for ordinary health-care operations such as quality review, support, security, audit, and running the practice and the platform. For any use or disclosure of my PHI not otherwise permitted by HIPAA or required by law, a separate written authorization is required. Sections 4 and 5 describe sharing that is part of treatment and health-care operations, and Section 6 is the separate, patient-directed request I can make to send my records to anyone I choose.
4. Records sharing with my Provider
So that my Provider can care for me, my PHI is shared between RonanRx and my Provider, including my intake answers, health and medical history, secure messages, records, lab and test results, medication and allergy information, and other relevant PHI. My Provider also shares clinical information back with RonanRx as needed for platform, administrative, billing, and care-coordination functions, so messages route correctly, records are stored and routed, and my account and billing reflect my care. This sharing is part of treatment, payment, and health-care operations, which HIPAA permits without a separate authorization, and it is limited to what is reasonably needed for my care and for the non-clinical services RonanRx provides.
5. Records sharing when I change Providers
I may request a different Provider, as described in the RonanRx Patient Platform & Marketplace Agreement and the Provider Election & Care-Relationship Addendum. So that a change of Provider works smoothly and safely, RonanRx and the Provider active immediately before the change send and copy my records to the new Provider for treatment and care coordination once I make the change. This sharing for a Provider change is part of treatment and care coordination, which HIPAA permits, and I confirm and direct it when I choose a new Provider. I understand that:
- The Provider active immediately before the change retains its own legal medical record of the care it gave me, as required by law and professional rules. It sends a copy; it does not give up its record.
- My new Provider receives the records needed to treat me and coordinate my care.
- RonanRx keeps audit logs of records routing and access for security and compliance.
- RonanRx will not obstruct a lawful transfer of my records. Consistent with information-blocking principles, RonanRx will not interfere with the lawful access, exchange, or use of my information, and will help my records move when I choose a new Provider.
This section describes the records sharing that makes a Provider change work.
6. My right to direct my records (HIPAA right of access)
I have the right to get a copy of my PHI. I also have the right to direct that my PHI be sent to another person or entity I choose, such as another Provider, a family member, a caregiver, or an app. To do this, I make a written request that I sign. The request must clearly identify who is to receive the information and where it should be sent. An electronic signature submitted through a secure RonanRx portal or the App can satisfy this written-request requirement.
Once I make a valid request, the responsible party will generally act within 30 days, with one limited extension allowed where the law permits and I am notified. I may also ask to inspect, get a copy of, or request correction of my information. I may ask to restrict certain uses or disclosures, a request RonanRx and my Provider will consider as the law allows. If I direct my records to a person or entity that is not a health-care provider or health plan, such as an app or a family member, that recipient may not be bound by HIPAA and could share my information further.
Some categories of health information get stronger legal protection, and extra restrictions or a separate, specific authorization may apply before that information is used or shared. These categories include, where applicable:
- Substance-use disorder records protected under 42 CFR Part 2;
- HIV/AIDS and sexually transmitted infection (STI) information;
- Sexual, reproductive, and gender-related health information, which is protected mainly by state shield and privacy laws;
- Genetic information;
- Mental-health information, including psychotherapy notes, which have their own special protection; and
- Minors' services and other care subject to special consent or confidentiality rules.
State law adds privacy protections on top of HIPAA for these and other categories, and certain states, including shield-law states, add further protections and limits on disclosure for specific service lines. For sexual, reproductive, and gender-related health information in particular, the heightened protections come from the privacy and shield laws of the relevant states rather than from any single nationwide federal rule. Where the law of the state where I live or where I receive care provides stronger protections than HIPAA for one of these categories or service lines, those stronger protections apply to me and control over inconsistent national terms for that category or service line.
8. Confidential communications
I may ask RonanRx and my Provider to communicate with me by an alternative method or at an alternative address, phone number, or channel, for privacy or for my safety. Reasonable requests of this kind will be accommodated as the law allows. If receiving information a certain way could put me at risk, I should tell RonanRx and choose a safer method. Channel-specific risks and choices for mobile messaging are covered in the Mobile Messaging Consent, Authorization & Communications Preferences.
My PHI is protected with appropriate administrative, physical, and technical safeguards, including access controls, role-based access so people see only what they need, encryption where appropriate, and audit logging, designed to keep my information confidential and secure. No system is perfectly secure. If a breach of my unsecured PHI occurs, I will be notified and any required notifications will be made in accordance with HIPAA's breach-notification rules and applicable state law.
10. How long this sharing lasts; my choices
The treatment and care-coordination sharing described in Sections 4 and 5 continues while I use the RonanRx platform and as needed to provide and coordinate my care. A patient-directed request I make under Section 6 stays in effect until I complete or withdraw it. I may withdraw a Section 6 request, or ask RonanRx and my Provider in writing to stop a particular sharing arrangement, at any time, except to the extent they have already acted in reliance on it, for example records already sent. Limiting sharing may affect the platform's ability to coordinate my care or transfer my records, but it does not change my right under Section 6 to direct or obtain my records, and treatment, payment, and operations uses permitted under HIPAA continue as the law allows.
11. Redisclosure and other agreements
Once my information is sent to a person or entity I direct under Section 6, or to a recipient not bound by HIPAA, that recipient may not be subject to HIPAA and my information could be redisclosed. This document does not authorize the sale of my PHI, marketing, or research uses; any of those would require a separate authorization. This document works together with the rest of my packet, including the RonanRx Patient Platform & Marketplace Agreement, the Provider Election & Care-Relationship Addendum, the Telehealth Consent & Consent to Treat, the Payment & Billing / Subscription Terms, the Pharmacy & Compounding / Medication Disclosure, and the Mobile Messaging Consent, Authorization & Communications Preferences. If any of those conflicts with this document on privacy or records sharing, this document controls for that topic.
12. Acknowledgments
By agreeing to this Privacy, HIPAA & Records-Sharing Authorization, I affirm that:
- I acknowledge receiving the Notice of Privacy Practices for RonanRx and for my Provider, and I understand this acknowledgment is separate from my consent to treatment and from the records-sharing authorizations below.
- I understand RonanRx is the platform that handles my information to run the platform and to assign and let me change my Provider, that RonanRx is not my treating clinician, and that my Provider keeps its own clinical records and Notice of Privacy Practices.
- I understand my information may be used for treatment, payment, and health-care operations as the law permits, and that a separate authorization is required for uses not otherwise permitted.
- I understand my information is shared with my Provider, both ways, for treatment and care coordination and for the platform's non-clinical services, as HIPAA permits.
- I understand that when I change Providers, my records are shared with the new Provider I choose for treatment and care coordination, my prior Provider keeps its own legal record, and RonanRx will not obstruct a lawful transfer.
- I understand my right to direct my records to another person or entity with a signed request identifying the recipient and destination, and my right to inspect, copy, request correction of, and request restrictions on my information.
- I understand that sensitive information, including substance-use, HIV/STI, sexual and reproductive health, genetic, mental-health, and minors' services, gets stronger protection, and that state and shield-law protections may add to this.
- I understand I may request confidential communications, that my PHI is protected with appropriate safeguards, and that I will receive breach notification if required.
- I understand I may revoke my authorizations in writing, except to the extent already acted upon.

Pharmacy & Compounding / Medication Disclosure
RonanRx Inc.
This agreement is part of the RonanRx Patient Agreement Packet. The Patient, Provider, fees, dates, and other particulars are stated on the packet cover page and are incorporated into this agreement by reference.
This disclosure explains how medication, pharmacy, and compounding work if they become part of my care. It is part of my RonanRx Patient Platform & Marketplace Agreement, my Provider Election & Care-Relationship Addendum, my Telehealth Consent & Consent to Treat, my Payment & Billing / Subscription Terms, and my Privacy, HIPAA & Records-Sharing Authorization. It does not replace anything my Provider tells me about my specific medication.
1. RonanRx is not my pharmacy and not my prescriber
RonanRx is a platform and marketplace. It is not my Provider, my pharmacy, or my insurer. RonanRx does not prescribe medication, practice pharmacy, compound or dispense drugs, or decide what medication is right for me. RonanRx supplies only non-clinical services: the platform, intake, payment collection, messaging tools, record routing, and care-coordination technology. Any prescribing is done by my Provider, and any dispensing or compounding is done by a licensed pharmacy.
2. My Provider, not RonanRx, makes all medication decisions
My Provider, in independent clinical judgment, decides whether a medication is clinically appropriate for me, and chooses the medication, the dose, the refills, or whether to prescribe no medication at all. RonanRx does not control, direct, influence, override, or share in prescribing decisions. My Provider may decline to prescribe; may require labs, records, a video or in-person visit, or follow-up first; may change or stop a medication; and may refer me elsewhere.
3. No guarantee of a prescription, refill, or medication
Nothing about using RonanRx entitles me to a prescription, including creating an account, selecting a Provider, being accepted by a Provider, or paying my subscription. RonanRx does not guarantee that I will receive a prescription, refill, or specific medication, or that any pharmacy will fill a prescription. Whether I receive medication depends on my Provider's clinical judgment, the law, and pharmacy availability, not on my payment.
4. I can choose my pharmacy where the law allows
Where it is legally available, I may choose the pharmacy that fills my prescription, and I am not required to use any particular pharmacy. My Provider sends a valid prescription, and I am free to have it filled at a pharmacy of my choosing to the extent the law and my prescription allow. RonanRx does not require me to use a RonanRx-affiliated or RonanRx-suggested pharmacy as a condition of my care or my subscription.
5. Medication and pharmacy costs are separate
Medication is not included in my RonanRx subscription and may cost extra. Pharmacy charges, the price of the drug, dispensing or compounding fees, laboratory tests, and shipping or delivery may be billed separately by the pharmacy, lab, or shipper, not by RonanRx. Insurance may or may not apply to medication, labs, or shipping, and I am responsible for understanding my own coverage.
The terms for my monthly subscription charge, which include my Provider's fee and RonanRx's flat Platform Fee, are set out in my Payment & Billing / Subscription Terms, which control on all subscription-payment matters. This disclosure governs the fact that medication and pharmacy costs are separate from that subscription.
RonanRx's flat Platform Fee is a fixed, fair-market-value administrative fee for non-clinical services, and it is not tied to anything about medication. The Platform Fee does not depend on:
- which pharmacy I choose;
- which medication, if any, my Provider prescribes;
- whether any prescription is ever written or filled;
- the dose, refills, or quantity of any medication; or
- any drug or pharmacy revenue.
There are no referral fees and no drug-margin sharing. RonanRx is not paid for referrals, not paid for prescriptions, and not paid when I use a pharmacy. My Provider sets and receives their own clinical fee (the Provider Fee stated on the cover page), and RonanRx charges a separate flat Platform Fee, as described in my Payment & Billing / Subscription Terms.
7. Compounded medications, if part of my care
If my care involves compounded medications, those are different from standard manufactured drugs. Specifically:
- Compounded drugs are not FDA-approved. They have not been reviewed by the FDA for safety, effectiveness, or quality the way commercially manufactured, FDA-approved drugs are.
- They are prepared specifically for me. A compounded medication is made on a patient-specific basis under federal law, based on a valid prescription order for me as an individual patient from my Provider. It is not a mass-produced product.
- The dispensing pharmacy retains release authority. The licensed compounding pharmacy is responsible for preparing the medication and decides whether to release it. The pharmacy, not RonanRx, controls compounding and dispensing, and may decline or delay release for safety, quality, legal, or supply reasons.
My Provider will tell me whether any compounded medication is part of my treatment, and I can ask my Provider or the pharmacy about it.
8. Medication availability is separate from choosing a Provider
Whether a medication can actually be filled or compounded for me is its own separate question, and it is not the same as choosing a Provider. Consistent with my RonanRx Patient Platform & Marketplace Agreement, these are three different events, and one never automatically grants another:
- Marketplace availability: which providers are shown for my state.
- Clinical acceptance: a provider accepting me and forming the care relationship.
- Medication fulfillment availability: whether a particular dispensed or compounded medication is available to me.
Medication fulfillment availability is state-specific and prescription/dosage-form-specific. A medication may be available in one state but not another, or in one form (for example, a tablet) but not another (for example, a compounded injectable). RonanRx's pharmacy fulfillment is currently not available in Arkansas or California. Selecting a Provider, being accepted by a Provider, or receiving a prescription never guarantees that any medication is available to me through RonanRx's pharmacy fulfillment.
9. Controlled-substance rider
This Section is a rider that applies only if my care involves a controlled substance. It is not a promise that controlled substances are available, offered, or appropriate. If my service line does not involve controlled substances, this rider does not apply to me.
Controlled substances are regulated more strictly than other medications, and whether any controlled substance can be prescribed by telehealth depends on current federal and state law:
- Provider judgment controls. Any controlled-substance prescribing is subject to my Provider's independent clinical judgment, and my Provider may decline to prescribe a controlled substance, may require an in-person evaluation, or may impose additional safeguards.
- It is subject to applicable law. Controlled-substance prescribing is subject to all applicable federal and state law, including DEA and state requirements, and may require steps that other medications do not. Any applicable state-specific disclosures, consent formalities, in-person-evaluation, prescription-monitoring, and quantity or refill limits apply to me as required by law.
- Current telemedicine flexibilities. As of this disclosure, DEA and HHS telemedicine flexibilities for prescribing controlled medications are extended through December 31, 2026. These flexibilities may change, end, or be replaced, and any future change applies to me going forward.
Nothing in this rider guarantees that I will be prescribed any controlled substance.
10. Where to send medication questions
I understand how to route my questions and that this platform is not for emergencies:
- Clinical questions, about whether a medication is right for me, side effects, interactions, dosing, or whether to start, change, or stop a medication, go to my Provider through the secure platform. RonanRx support cannot answer clinical questions.
- Non-clinical pharmacy or order questions, about order status, shipping, or a separate pharmacy charge, may go to RonanRx support or the pharmacy, as appropriate.
- Pharmacy-specific questions about how a medication was prepared, dispensed, or should be taken may also go to the dispensing pharmacy.
- Emergencies: this platform and its messaging are never for emergencies. If I have a serious reaction, overdose, allergic reaction, or any urgent or life-threatening symptom, I will call 911 or go to the nearest emergency room right away, and I may contact Poison Control for a suspected poisoning or overdose.
11. Acknowledgments
By agreeing to this Pharmacy & Compounding / Medication Disclosure, I affirm that:
- RonanRx is not my pharmacy or my prescriber; my Provider makes all medication decisions and a licensed pharmacy does any dispensing or compounding.
- My Provider, not RonanRx, decides whether a medication is appropriate and chooses the medication, dose, refill, or no medication, in independent clinical judgment.
- There is no guarantee of a prescription, refill, specific medication, or that any pharmacy will fill a prescription.
- Where legally available, I may choose my pharmacy and am not required to use any particular pharmacy.
- Medication, pharmacy, lab, and shipping costs are separate from my subscription, insurance may or may not apply, and subscription payment terms live in the Payment & Billing / Subscription Terms.
- RonanRx's flat Platform Fee is not tied to my pharmacy choice, medication choice, whether a prescription is filled, or any drug or pharmacy revenue, and there are no referral fees and no drug-margin sharing.
- If my care involves compounded medications, they are not FDA-approved, are prepared specifically for me under a valid prescription, and the dispensing pharmacy retains release authority.
- Medication availability is separate from choosing a Provider, is state- and prescription/dosage-form-specific, is currently not available in Arkansas or California, and selecting a Provider never guarantees medication availability.
- Any controlled-substance prescribing is subject to my Provider's judgment and applicable law, and current DEA and HHS telemedicine flexibilities are extended through December 31, 2026.
- I will route clinical questions to my Provider and will not use this platform for emergencies; I will call 911 for urgent or life-threatening symptoms.

Mobile Messaging Consent, Authorization & Communications Preferences
RonanRx Inc.
This agreement is part of the RonanRx Patient Agreement Packet. The Patient, Provider, fees, dates, and other particulars are stated on the packet cover page and are incorporated into this agreement by reference.
1. Purpose of this consent
I am choosing to receive health-related communications from RonanRx, my Provider, my care team, and RonanRx service providers by mobile messaging. These channels include Apple Messages and iMessage, RCS, limited SMS and MMS fallback, and secure links that open the App. This consent documents my communication preference and, where required, my authorization for RonanRx to disclose my information to me through these channels.
2. This consent is optional
I do not have to agree to mobile messaging to use the App. Without it I can still receive information through the secure App, web portal, email, phone, or mail. My treatment, payment, enrollment, and access to care are not conditioned on signing, except where a service technically requires a mobile number.
The messages I receive may include account and service messages, appointment and care-coordination messages, and health-app messages. They may also include medication and treatment information, results and clinical updates, and information about billing, pharmacy, and insurance. They may include secure links and other information I request. RonanRx may choose to send only a notification or a link, and it may withhold detailed information from the message itself.
Unless I separately authorize it, RonanRx may limit certain sensitive information or require that I view it in the App. This applies to psychotherapy notes, substance-use records protected under 42 CFR Part 2, and information about HIV, STI, sexual, and reproductive health. It also applies to genetic information, certain mental-health information, services provided to minors, and safety-sensitive communications.
The information may be sent by RonanRx and by affiliated, contracted, or participating providers and professional entities. It may also be sent by my care team and by RonanRx workforce members and contractors. In addition, it may be sent by business associates and service providers that operate the App, deliver messages, host data, or support, secure, or log communications.
The information is sent to me at the mobile number and device I designate and at its messaging account. Intermediaries, carriers, and cloud providers receive it only as needed to deliver, secure, log, or troubleshoot my messages. The information is not sent to another person, caregiver, employer, or third party unless I separately authorize it or the law permits it.
7. Agreement to mobile messaging
By signing, I agree to receive these messages at the number and device I designate. Without signing, RonanRx will not send protected health information by message, except limited non-PHI administrative, security, legally required, or transactional messages. RonanRx may still send secure links or require in-app viewing.
8. Channel security and delivery risks
Mobile messaging has privacy and security risks; encryption varies by system, device, and carrier, and SMS/MMS is not end-to-end encrypted. Messages may be seen if my device or accounts are shared, previews appear, messages sync or back up, my device is lost or compromised, my number is reassigned, or I forward them. After delivery, RonanRx may not control who sees the information.
9. My responsibilities
The number is mine or controlled by me; I keep my device, passcode, accounts, and backups secure; I can disable lock-screen previews; I notify RonanRx if my number changes or my device is lost or stolen; I will not use messaging for emergencies; and I will call 911 for urgent or life-threatening symptoms.
10. Message frequency, costs & automated messages
Frequency may vary by my use, care plan, and settings. Message and data rates may apply. I consent to informational healthcare, account, care-coordination, security, and service messages, including automated ones. This does not authorize marketing texts unless I separately opt in.
11. No marketing, sale, or research authorization
This consent is for delivery of information to me. It does not authorize sale of my PHI, marketing, research, publication of identifiable information, or third-party disclosure for their own purposes. RonanRx may use information for treatment, payment, operations, safety, compliance, and similar permitted purposes; separate authorization is sought where required.
12. Revocation and opt-out
I may revoke at any time: change my settings in the App, text STOP where supported, contact support, or send a written request. RonanRx honors revocation as soon as practicable; it does not affect messages already sent. Limited non-PHI messages may continue where permitted.
13. Expiration
This consent remains effective until the earliest of the following events: I revoke it, my account closes, RonanRx replaces it and I sign a new version, or three years pass from the date I sign it unless I renew it earlier. A shorter period applies if required by law.
14. Redisclosure warning
Information sent to me may be seen, saved, copied, forwarded, or disclosed by me or anyone with access to my device or account; recipients may not be bound by HIPAA. This consent does not waive rights under HIPAA, state privacy, consumer health data, or breach laws that cannot be waived.
15. State-specific terms
This consent applies nationwide; where a state grants stronger privacy rights, that law controls. Specific provisions apply for California (CMIA), Texas, Minnesota, Washington (My Health My Data), Nevada, and other comprehensive-privacy states.
16. Special safety situations
If receiving messages could put me at risk because another person may access my device or account, I should not choose mobile messaging and may request another method. If I tell RonanRx that messaging could endanger me, it will use reasonable efforts to accommodate an alternative as required by law.
17. Electronic records and signature consent
I agree to receive and sign this consent electronically; my electronic signature has the same effect as a handwritten one. RonanRx may keep records of my signature, timestamp, IP address, device, session, version, number, and audit logs. I can download, print, or request a copy, and may withdraw consent to electronic records prospectively.
18. Required acknowledgments
- I request and authorize RonanRx to send mobile messages to my number and device.
- Some messages may include protected health information.
- Messaging systems, carriers, devices, and backups have different security features and risks.
- People with access to my phone, accounts, lock screen, synced devices, or backups may see my information.
- I can use the secure in-app channel instead.
- Signing is optional and not required to receive care.
- I may revoke at any time and this consent does not waive non-waivable rights.
- I consent to electronic records and electronic signature.
